Welcome to the website of Custom Networks, Inc. ("CNI," "we," "us," or "our"), located at www.customnetworks.com (the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site.

1. About These Terms

These Terms apply only to your use of the Site. They do not govern the managed IT, cybersecurity, cloud, AI enablement, compliance, infrastructure, or other professional services we provide to our clients. Those services are governed exclusively by separate written agreements between CNI and each client, including any Master Services Agreement, Statement of Work, or service order (collectively, "Service Agreements"). If there is any conflict between these Terms and a Service Agreement, the Service Agreement controls with respect to the services it covers.

2. Eligibility

The Site is intended for business audiences and for individuals who are at least 18 years of age. By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation;
  • Attempt to gain unauthorized access to any portion of the Site, or to any systems, servers, or networks connected to the Site;
  • Probe, scan, or test the vulnerability of the Site or any related system or network, or breach any security or authentication measures;
  • Introduce viruses, malware, or any other harmful code or material;
  • Use any robot, spider, scraper, or other automated means to access the Site or collect content from it without our prior written permission;
  • Interfere with or disrupt the operation of the Site or the servers or networks used to make it available;
  • Impersonate CNI, a CNI employee, another user, or any other person or entity, or misrepresent your affiliation with any person or entity;
  • Use the Site to transmit unsolicited advertising or promotional material; or
  • Copy, reproduce, republish, or redistribute Site content except as expressly permitted by these Terms.

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for any conduct that we believe violates these Terms or is otherwise harmful to CNI, other users, or third parties.

4. Intellectual Property

The Site and all of its content — including text, graphics, logos, images, blog articles, page designs, and software — are the property of CNI or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

"Custom Networks," "CNI," and the CNI logo are trademarks of Custom Networks, Inc. You may not use our trademarks without our prior written consent. Third-party names, logos, and marks appearing on the Site (including those of our technology partners) are the property of their respective owners, and their appearance does not imply any endorsement of these Terms or of your use of the Site.

You may view, download, and print content from the Site for your own internal business or personal informational use, provided you keep all copyright and proprietary notices intact. Any other use of Site content without our prior written permission is prohibited.

5. Informational Content Only — No Professional Advice

Content on the Site, including blog posts and service descriptions, is provided for general informational purposes only. It does not constitute IT, cybersecurity, compliance, legal, or other professional advice, and it is not a substitute for a professional assessment of your specific environment and requirements. You should not act or rely on any Site content without seeking appropriate professional guidance. No content on the Site creates a client relationship or any service commitment between you and CNI; such relationships are established only through a signed Service Agreement.

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CNI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT. THIS SECTION DOES NOT APPLY TO ANY WARRANTIES EXPRESSLY SET FORTH IN A SIGNED SERVICE AGREEMENT, WHICH ARE GOVERNED BY THAT AGREEMENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CNI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF CNI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, CNI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

FOR CLARITY, THIS SECTION APPLIES ONLY TO USE OF THE SITE. LIABILITY RELATING TO SERVICES PROVIDED UNDER A SERVICE AGREEMENT IS GOVERNED BY THAT AGREEMENT.

Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless CNI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect information submitted through the Site. Please review it carefully.

12. Changes to the Site and These Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. When we do, we will update the Effective Date at the top of this page. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Governing Law and Venue

These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. You agree that any legal action arising out of these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Cobb County, Georgia, and you consent to the personal jurisdiction of those courts.

14. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CNI regarding your use of the Site and supersede any prior understandings regarding the Site. You may not assign these Terms without our prior written consent; we may assign them without restriction.
